An Employer Identification Number is required by the Internal Revenue Service for any business that has employees, withholds taxes on income, or operates as a corporation or partnership. It’s like a Social Security number for your company, and all multi-member LLCs need to have one. 

An operating agreement outlines the internal operations of your business and is the main governing document of an LLC. It’s a contract that outlines the rights and responsibilities of its owners.

Some business activities may require you to obtain certified copies of your formation documents. They are  valid for 30 days so keep that in mind when ordering.

For Delaware purposes, if your LLC is formed in another state, then it is known as a foreign LLC in Delaware. 

Foreign doesn’t necessarily  mean from another country. Instead, it means your business was organized under the laws of another state.

FRANCHISE TAX 

Most states require companies to pay an annual franchise tax based on the amount of income they earn. Delaware, however, imposes a flat rate that isn’t related in any way to earnings or profit. The annual rate for a Delaware LLC is $300, payable online by the first of June each year.

Domestication is more complex than simply closing an office in one state or country and opening a new office in another. Domestication should not be confused with foreign qualification.

 

Domestication will officially dissolve your business/entity in current corporate home and domicile it in Delaware, making your business subject to the laws, regulations and compliance requirements of Delaware.

 The minimum tax is $175.00, for corporations using the Authorized Shares method.
